Direct Connect Medical Online System User Agreement

 

This Agreement sets forth the terms and conditions for use of the Direct Connect Online System.

Use of this service indicates the User’s agreement to these terms and conditions of this Agreement. This Agreement (the "Agreement") is between User and Global Graffiti, Inc., dba Direct Connect Medical, a Texas corporation with a principal place of business in Houston, Texas.

1. DATA AND ON-LINE SOFTWARE

Global Graffiti, Inc., dba Direct Connect Medical grants paid users a non-exclusive, non-transferable, limited right to access, use and display the Runtime Program and Web Site (collectively the “Direct Connect Online System ") and the materials provided hereon, provided that you comply fully with this Agreement. The contents of the Direct Connect Online System are only for paid subscriber use. You agree not to interrupt, or attempt to interrupt, the operation of the Direct Connect Online System Information System in any way.

2. FEE-BASED SERVICE CHARGES.

Certain components or functionality of the Direct Connect Online System are available only through the purchase of a Direct Connect Online System subscription ("Fee-Based Services").

You agree to pay, using a valid credit card or bank check, the monthly or annual subscription charges set forth on the Direct Connect Online System, applicable taxes, and other charges incurred on your account in order to access Fee-Based Services. Global Graffiti, Inc., dba Direct Connect Medical requires a minimmum one month deposit fee upon initiation of your subscription. Global Graffiti, Inc., dba Direct Connect Medical will automatically charge your account for renewal of your monthly Direct Connect Online System subscription.

In the event Global Graffiti, Inc., dba Direct Connect Medical cannot charge your account, we reserve the right to terminate your access to the Fee-Based Services. There is a sixty-dollar surcharge if your check is returned.

(a) In addition to the charges set forth above, you are responsible for all charges associated with connecting to the Direct Connect Online System, including, without limitation, all telephone access lines (including long-distance charges, when applicable), telephone and computer equipment and any service fees necessary to access the Fee-Based Services.

 (b) For purposes of identification and billing, you agree to provide Global Graffiti, Inc., dba Direct Connect Medical with accurate, complete, and updated information required by the Direct Connect Online System subscription registration to the Fee-Based Services ("Registration Data"), including your legal name, address, telephone number(s), and applicable payment data (e.g., credit card number and expiration date.  Failure to comply with this provision may result in immediate suspension or termination of your right to use the Fee-Based Services.

 (c) You agree to promptly update your Registration Data in writing in the event of any known or suspected unauthorized use of your subscription, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information. In the event of a breach of security, you will remain liable for any unauthorized use of your subscription until you update your Registration Data. If your credit card expires, cancels, is lost or is subject to use without your authorization, or if your subscription is subject to use without your authorization, please contact us immediately.

3. RATES

Monthly Package
$199.00 + applicable sales tax per month, per agency.  Unlimited users per agency.

Annual Package
$1999.00 + applicable sales tax per month, per agency.  Unlimited users per agency.

 4. SUPPORT

Support and training is provided via help notes and videos located at http://directconnectmedical.com .  Specific questions and problems must flow through the Direct Connect Online System support ticketing system located at:  http://www.directconnectmedical.com/support.

5. CONFLICT RESOLUTION.

The User agrees to submit all grievances, questions, concerns, complaints and requests, collectively known as “Support Issues”, in writing via email to info@directconnectmedical.com or through our online support sytem located at http://www.directconnectmedical.com/support . The User will provide official documentation (i.e. CMS-published compliance standards) to identify where the Direct Connect Online System is non-compliant. Global Graffiti, Inc., dba Direct Connect Medical agrees to begin updates of its software application to satisfy required federal compliance standards within 72 hours of receipt of official documentation from the User.

6. REFUNDS.

Agencies utilizing the monthly subscription packge are not entitled to refunds of any kind.

Agencies utilizing the annual subscription package are entitled to a 50% refund of the paid annual fee provided the refund is requested in writing within 180 days of subscription expiration.

All refunds will be processed within 60 days of written request.

7. COPYRIGHT AND TRADEMARKS.

All materials on the Direct Connect Online System, including without limitation text, images, software and Fee-Based Services (collectively, the "Content")

are owned or controlled by Global Graffiti, Inc., dba Direct Connect Medical, which retains all right, title, and interest in and to the Content. The Direct Connect Online System and Content are protected by copyright and trademark laws of the United States, other countries, international conventions, and other applicable laws. You agree not to use any trademarks, service marks, names, logos, or other identifiers of Global Graffiti, Inc., dba Direct Connect Medical without the prior written permission of Global Graffiti, Inc., dba Direct Connect Medical.

8. COMMUNICATING WITH THE DIRECT CONNECT ONLINE SYSTEM.

You are solely responsible for the content of any data you transmit to the Direct Connect Online System (data entry) or any materials you add to the Direct Connect Online System.
